Bylaws Committee Meeting Minutes December 17, 2009 Old Business The Bylaws Committee is scheduled to present its motions on the Elections Process at the January 6, 2010 meeting. - Inasmuch as there has been ample time to discuss the motion and discussion has, in fact, taken place via email, no further discussion is planned. The Committee will respond to clarifying questions only followed by a vote on the motion.
- Because the Elections process motion is lengthy, it has been broken down by sections, each of which will be voted upon as follows:
(1) Section 5.2.1 Election Procedures. Elections will be held as follows: 1. The Chair of the Board of Trustees will appoint a Trustee to organize the Elections Committee no later than the July SHCC meeting. The Elections Committee will consist of three or five members. Members of the Elections Committee will appoint a Chair of the committee. Members of the Elections Committee may not resign and run for office. Members of the Election Committee cannot be a write-in candidate. Members of the Election Committee cannot serve or must resign if a spouse, partner, or blood relative is a candidate. The Elections Committee decisions are final. |

Bylaw Committee Meeting August 20, 2009 Present: Elaine Brown, Barbara Green, Ruth Price and Ray Pugsley. Absent: Dolores Donohoo and Grace Sperry. 1. The Committee reviewed proposed changes by the Executive Committee to Bylaws amendment motions presented as agenda items by the Bylaws Committee regarding both removal of trustees and the election process. After much discussion, it was decided that motions would be presented as originally submitted to be discussed, and/or modified and voted upon at such time as they could be placed on a meeting agenda for review by the entire Board of Trustees. 2. The Committee decided not to review other Bylaws until the previous motions had been presented to the entire Board of Trustees and a vote taken. |

Bylaw Committee Meeting July 30, 2009 Present: Elaine Brown, Dolores Donohoo, Ray Pugsley, Ruth Price, and Grace Sperry. Absent: Barbara Green Committee Composition: A discussion among those present determined that membership would be limited to current trustees, and specifically to those who expressed an initial interest including: Elaine Brown, Dolores Donohoo, Barbara Green, Ray Pugsley, Ruth Price, and Grace Sperry. 1. Meeting Schedule: Third Thursday of the month at the Sprague Library at 6:00 p.m.; next meeting: Thursday, August 20, 2009. 2. Chair: Ray Pugsley and Elaine Brown were elected co-chairs. 3. ARTICLE III, Section 3.7 – Removal of Trustees – A proposal to revise to the process to remove a trustee will be presented via motion for vote at the September meeting. 4. ARTICLE V, Section 5.2.1 – Election Procedures: A proposal to revise aspects of the election process was discussed and will be presented via motion for vote at the September meeting. 5.
